The paper analyzes the management of the participation rights of a minor partner in a general partnership and a limited liability company through the prism of the child’s best interests. It assesses whether the provisions of the Family and Guardianship Code adequately protect the minor’s property rights in business transactions. The paper highlights the misalignment of current family and guardianship law rules with the time constraints and specific nature of commercial law, which may even pose a risk of paralyzing the companies. Finally, a de lege ferenda proposal is put forward to introduce the institution of a permanent manager (representative) of a minor partner into the Commercial Companies Code.
